Cooperation Agreement
This agreement is established between Ecuador Luna Trading Company Limited (hereafter as Party A) and SHANGHAI POWER FLOWER MEDICAL EQUIPMENT CO., LTD (hereafter as Party B) onthe bases of the following terms and conditions. Party A and Party B, on the basis of adhering to the principle of equality, mutual benefit and supplementary advantage, and after friendlyconsultations and negotiations, have agreed as follows in terms of the cooperation of relative information content. 1. Responsibilities and rights content for both parties are listed below: 1.1 Party B agrees totreat Party A as exclusive partner, that is to say, not to cooperate with directly with client CEMEFRAN (hereafter as The Client). Party B can not entice The client to do business with Party B toavoid Party A. Party B can not cooperate with any other company to do business with The Client for Sale Contract No：20120103. 1.2. Party B can not negotiate or sign contract with The Client without theconsent of Party A. 1.3. Party B should keep the secret of commission clause, that is to say, any leak of commission clause to client as mentioned above caused by Party B will be treated as breach ofthis agreement. 1.4. Commission clause: (1) commission value: a maximum of 3.5% against total sales amount as commission.

(2) commission should change according to the quantity of order.(3)commission payment time: Party B must transfer 50% of the commission to appointed bank account of Party A in 7 workdays after Party B get the deposit from The Client, and the other 50% of the commissiontransfer to party A in 7 workdays that after B got all money from Client 1.5.
