ASPECTOS HISTÓRICOS DE LA SOCIEDAD MERCANTIL:
Suelen usarse los términos asociación y sociedad como sinónimos;y en la práctica ambos sentidos pueden realizar actividades lucrativas. Es necesario entonces, establecer ladiferencia. Tanto la sociedad como la asociación son manifestaciones de un mismofenómeno asociativo, pero con una trama orgánica diferente. La diferencia es de género o especie: la asociación sería el género; y la sociedad, la especie.Desde el ángulo contractual la sociedad crea un vínculoque afecta a los socios entre sí,equiparándolos cualitativamente; mientras que la asociación crea un vínculo entre losasociados y la asociación.Conforme el sistema jurídico guatemalteco y tomando de referencia el artículo 15 del códigocivil, la diferencia entre una asociación y una sociedad estriba en que la primera no tienefinalidad lucrativa; mientras que en la segunda, esa es la razón de su...
