It is hereby understood and agreed that damages shall be an inadequate remedy in the event of a breach by you of any of the covenants made herein, and that any such breach by you will cause the Company and/or anyapplicable Group Company great and irreparable injury and damage. Accordingly, you agree that the Company and any applicable Group Company shall be entitled, without waiving any additional rights or remedies otherwise available to the Company or any applicable Group Company at law or in equity or by statute, to injunctive and other equitable relief in the event of a breach or intended orthreatened breach by you of any of the covenants contained herein.
Any provision of this Agreement which may require injunctive relief shall be brought in the Circuit Court of Kane County or the Federal Court of the Northern District of Illinois. Except for such provisions, any other dispute or claim arising out of any provision of this Agreement or relating to the employee’s employment, whether basedon statute, regulation, contract, tort or otherwise, shall be submitted to arbitration before a single arbitrator pursuant to the Commercial Arbitration Rules of the American Arbitration Association. Any such arbitration shall be conducted in Chicago, Illinois. An arbitration award rendered pursuant to this Agreement shall be final and binding upon the parties and may be submitted to any court ofcompetent jurisdiction for entry of a judgment thereon in accordance with the Uniform Arbitration Act. The parties agree that punitive damages may not be awarded in an arbitration proceeding under this Agreement.
Employee further agrees that he/she will not commence any action or suit relating to matters arising out of his/her employment with the Company (irrespective or whether such action orsuit arises out of the terms of this Agreement) later than six (6) months after the first to occur of (a) the date such claim initially arises or (b) the date of termination of employment for any reason whatsoever. Employee hereby expressly waives any applicable statute of limitations to the contrary.

ENGLISH-SPANISH TRANSLATION

Mediante el presente se entiende y se acuerda que laindemnización por daños y perjuicios será un medio inapropiado para hacer valer los derechos en caso de incumplimiento por parte de Ud. de cualquiera de los pactos contenidos en el presente y que cualquier incumplimiento por parte de Ud. causará a la Sociedad y/o a cualquier Sociedad del Grupo que proceda graves e irreparables daños y perjuicios. En consecuencia, Ud. está de acuerdo en que la Sociedad ycualquier Sociedad del Grupo que proceda tendrá derecho a reparación en virtud de requerimiento judicial de no causar daños o repararlos y a cualquier otro medio para hacer valer los derechos basado en el derecho de equidad en
caso de incumplimiento, tentativa o amenaza de incumplimiento por parte de Ud. de cualquiera de las cláusulas del presente documento, sin renunciar a cualquier otro derecho omedio para hacer valer los derechos de que la Sociedad o cualquier otra Sociedad del Grupo que proceda disponga en base a la ley o al derecho de equidad.

Cualquier disposición del presente Acuerdo que exija un medio para hacer valer los derechos basado en el derecho de equidad se presentará ante el Circuit Court of Kane County o ante el Federal Court of The Northern District of Illinois.Excepto para dichas disposiciones, cualquier otro litigio o demanda derivada de cualquier disposición del presente Acuerdo o relacionada con la situación laboral de los empleados y que esté fundada bien en una ley, en un reglamento, en un contrato, en una responsabilidad extracontractual o en cualquier otro fundamento se someterá a arbitraje ante un único árbitro, de conformidad con las Commercial...
