ABSTRAC
The constitution of a self-employed person is solemn, since it must be effected in writing, that is to say, by means of a private document or a public writing and with strict subordination to the rules contemplated in the article 72 of the Law 222 of 1995. If it is constituted by private document, it must besigned for the businessman, or his proxy, annexing the corresponding power, and it will have to be recognized before notary or with personal presentation before judge or before the Secretary of the Chamber to the moment to take root in the document, case in which, it has to of arriving copy of the document of identification.
The self-employed person can be constituted by public writing before anOffice of a notary. To her the businessman or his proxy must appear in personal form, annexing the corresponding power, to signing the public instrument that must contain the bylaws with the requirements that hereinafter distinguish themselves. It is necessary to do a clear and complete statement of the principal activities, until it expresses that " the company will be able to realize any lawfulact of trade”. The indeterminate objects must be avoided.
It is necessary to to do a description detailed of the goods contributed with estimation of his value. Of not becoming like that, the businessman will answer for the value assigned to the goods in the constitutive document. It is necessary to establish in clear form and needs the form of administration of the company together with theassigned powers, for lack of requirements there will be understood that the administrators will be able to advance all the acts understood inside the foreseen activities.














RESUMEN
La constitución de una empresa unipersonal es solemne, pues debe efectuarse por escrito, es decir, mediante un documento privado o una escritura pública y con estricta sujeción a las reglas contempladas en elartículo 72 de la Ley 222 de 1995.Si se constituye por documento privado, debe ser suscrito por el empresario, o su apoderado, anexando el poder correspondiente, y deberá ser reconocido ante notario o con presentación personal ante juez o ante el Secretario de la Cámara al momento de radicar el documento, caso en el cual, debe de allegarse copia del documento de identificación
La empresa unipersonal sepuede constituir por escritura pública ante una Notaría. A ella debe comparecer en forma personal el empresario o su apoderado, anexando el poder correspondiente, a suscribir el instrumento público que debe contener los estatutos con los requisitos que más adelante se señalan. Se debe hacer una enunciación clara y completa de las actividades principales, a menos que se exprese que “la empresapodrá realizar cualquier acto lícito de comercio”. Se deben evitar los objetos indeterminados.
Se debe hacer una descripción pormenorizada de los bienes aportados con estimación de su valor. De no hacerse así, el empresario responderá por el valor asignado a los bienes en el documento constitutivo.
