STANDARD TERMS & CONDITIONS FOR CRS ROBOTICS CORPORATION
The following are the terms and conditions under which CRS Robotics Corporation ("CRS") sells its products to the Buyer:
1.

Acceptance
All orders are subject to acceptance by CRS and are not binding on CRS unless and until so accepted. Acceptance of an
order by CRS on its standard acknowledgement order form constitutes a complete andbinding contract. The product covered
by this order will be specially made and the order cannot be cancelled, altered, or deferred in delivery except with CRS’s
written consent and upon terms agreed to by CRS. A minimum cancellation charge calculated at 25% of the order price will
apply to any order that is cancelled for any reason by the buyer. The waiver of any provision of the contractshall not constitute
a waiver of any other breach or of a subsequent breach of such provision for the same or any other cause.

2.

Pricing
All prices quoted by CRS are exclusive of applicable customs duties, brokerage fees, and shipping charges and applicable
taxes, all of which are in addition to the quoted prices (Note: customs duties and brokerage fees are not applicable in Canada
or theUnited States). At any time, and from time to time, CRS may change any part or all of our product prices without
advance notice. Booked orders are shipped at the prices quoted at the time of the booking of the order.

3.

Delivery/Risk of Loss
CRS shall deliver all product F.O.B. Burlington, Ontario, Canada (the "Delivery Location"). Prepaid shipping charges and
Insurance paid by CRS fordestinations beyond the Delivery Location shall be the responsibility of the buyer and may be
invoiced by CRS on the Invoice for the product or separately. Unless the buyer takes delivery at the Delivery Location, CRS
shall be entitled to choose the method of shipping the product and the carrier. For any purchase, all costs of transportation,
duties, taxes, imposts or assessments of any kind fromthe Delivery Location shall be for the account of the buyer. CRS
reserves the right to make deliveries of any of the buyer's orders in installments. Responsibility for the shipped product and all
risks of loss is the buyer's once CRS has made delivery of product to the buyer at the applicable Delivery Location. Packaging
of the product shall be completed by CRS in a reasonable fashion based onCRS's experience in packaging the product.

4.

Shortage and Damage Claims
CRS's policy is to take great care in shipping the product. Any claims for shortages must be made within ten days (10) of
receipt of the product. If the shipment of the Product delivered by a common carrier is damaged or in tampered condition, do
not sign the bill of lading without noting the damaged or tamperedcondition on the bill of lading. All claims for damaged
product should be referred to the common carrier and are not the responsibility of CRS. CRS will try to assist in settlement of
the claim. Damage claims should be made immediately after receipt of product.

5.

Return of Product
CRS will authorize return of the product only if the product is shipped in error or if the product is defective.All returns of the
product must be authorized in advance. The product shipped as ordered may not be returned without CRS's prior written
permission. Any request for authorization of return should be made to CRS's Customer Support Department, upon which a
RMA (return merchandise authorization) number will be issued for valid returns. All freight charges on returned product are for
the buyer'saccount. All requests for authorization of return and all returns must include reference to CRS's original invoice
number.

6.

Payment\
Unless amended in writing by CRS and upon credit approval, Payment Terms are a strict NET 30 DAYS from date of
shipment from CRS. Otherwise, any amount not paid for any reason whatsoever shall bear interest at an annual rate of 24%
