NOW THEREFORE: The Parties agree to the Terms and Conditions as follows: 1. SCOPE OF THE CONTRACT a) The Seller, with full authority and responsibility, declares that he has the capability and unrestricted right to sell the Gold, guarantees byperjury that he is capable to do so and confirms he has the contract to purchase or market the raw material, as herein defined as the Gold. b) The Buyer, with full authority and responsibility perjury, declares that he has the capability to purchase the Gold and arrange the weighing, smelting and refining of the Gold at the following refinery in Spain, which is located in the Spanish Islands, LasPalmas or Cordoba Spain territory.

In this date both parts (Seller & Buyer) they wish to formalize this document without no pressure that force to make them this agreement, understands that both parts have the legal faculty to sign or/and obligation to agree on the conditions of a future commercial relation between both parts by means of this document.

(Free from any harmful or deleterious elements such as Cyanide andArsenic) ASSAY The weight and assay of the Gold will be established by melting at the Refinery of the Buyer. The weight and assay report from the Refinery will be accepted as final by the Seller and Buyer (hereinafter referred to as the “Final Assay Report”). Once the after melt weight is established and the Gold sampled for assay the Refinery has the right to refine the Gold. All expenses relatedto the weight/assay and refinement at the Refinery will be for the Buyers account. The Seller has the right to have an acceptable independent surveyor to supervise the melting, weighing and assay of the Gold at their own expense. The Seller and / or the Seller´s Authorized representative have the right and option to be physically present at the Refinery to inspect the process of melting, weight andassay of the Gold by the Refinery. If the Seller elects to exercise said right / option, then the Seller or his Representative will accompany the Gold to the Refinery and commit to make themselves available on the date and time scheduled by the Refinery to complete said melting, weight and assay of the Gold by the Refinery. Hereinafter the commodity is referred to as the "Gold". 3. PACKAGINGSecurely packed in boxes suitable for export by airfreight.
