FOREIGN CORRUPT PRACTICES ACT Acknowledeement and Certification Buffalo Wild Wings Inc. and its subsidiaries (collectively herein "BWW), its employees and any person or entity acting on itsbehalf must exercise due diligence at all times and take all necessary precautions to ensure that business relationships are formed only with reputable and qualified partners, agents andrepresentatives. In negotiating any business relationship, BWW requires all persons and entities acting on BWW's behalf to provide Foreign Corrupt Practices Act ('TCPA) compliance certification. The BuffaloWild Wings Foreign Corrupt Practices Act Policy (the "Policy") is set forth in the attachment to this document.

Acknowledgesand covenants not to make or cause to be made any unlawful offer, promise, o payment to a foreign public official and not to do anything that would r cause BWW to be in violation of the FCPA.Agrees to fully indemnify BWW for any FCPA violation, including all costs for tihe underlying investigation. Agrees to fully cooperate with any ethics and compliance investigation, specificallyincluding the review of Recipient's and bank accounts relating to BWW's transactions and communications. Agreesnottohireanagent,subcontractororconsultantwithoutBWW'spriorwritten consent. Acknowledgesthe applicability of the FCPA to the potential business relationship as well as all country or regional anti-comipnon or anti-bribery laws which apply to either the Recipients or BWW.

I havereceived and read the "Buffalo Wild Wings Foreign Corrupt Practices Act Policy" statement. I am familiar with the requirements of the Policy and I understand the provisions of the FCPA and theconsequencesof its violation. I also understand the Policy prohibits activity in violation of the FCPA, and I agree to abide by such Policy.
