DISTRIBUTION AGREEMENT


Global Sales Network…, based in Milano, Italy, Via, (“Manufacturer ”) represented by its Managing Director, Mr. , and Superdistribuidor S.L. based in Portbou, Girona,Spain represented by its Managing Director, (“Distributor”), herein referred to also as “the Parties” agree the following:


1. EXCLUSIVITY AND TERRITORY

a. Nomination: Manufacturer namesSuperdistribuidor SL as exclusive distributor.


b. Exclusivity: Manufacturer will not name other distributors or agents in the Exclusive Territory of the Distributor for the duration of theAgreement

c. Exclusive Territory: The Distributor’s Exclusive Territory is agreed as Spain, France, Andorra, Morocco, Tunisia, Angola, Argentina, Chile, Uruguay and Portugal.


2. MAIN TERMSOF THE AGREEMENT

a. Products promotion: Distributor is in charge of promoting the sale of Product lines as specified in Annex B of this Agreement
b. Selling and marketing activity: itwill be performed by the Distributor at his own risk, with the organization that Distributor will judge more appropriate.
c. Previous Agreements: this Agreement supersedes any previous DistributionAgreement signed and effective between the Parties and can be modified only in by written documents signed by both Parties.


4. DUTIES OF THE PARTIES

a. Distributor will:
I. Promote,with his best effort and in the most correct way, the sale of the Manufacturer product lines
II. Inform about market perspectives and sales done in the different areas.



b. Manufacturerwill:
I. Inform about prices and delivery times when required by the Distributor.
II. Supply in a reasonable delivery time the Products at the agreed prices.
III. Supporttechnically the Distributor.


6. DURATION OF AGREEMENT
