Non circumvention, non disclosure and working/service agreement

WHEREAS, the undersigned wish to enter into this agreement to define certain parameters of the future legal obligations, are bound by a duty of confidentiality with respect to their sources andcontacts. This duty is in accordance with the International Chamber of Commerce Convention (I.C.C. 500).

WHEREAS, the Undersigned desire to enter into a working business relationship to the mutual andcommon benefit of the parties hereto, including their affiliates, subsidiaries, stockholders, partners, co-ventures, trading partners, and other associated organizations (hereinafter referred to as“Affiliates”).

NOW THEREFORE, in consideration of their future mutual promise herein and other good and valuable consideration, the receipt of which is acknowledged hereby, the parties hereto agree asfollows:

TERMS AND CONDITIONS

1) The parties hereto nor officer of client nor their family nor applicant company nor their affiliates nor associates companies nor their employee will not, in anymatter, solicit, nor accept any business obtains either directly or indirectly an Investment, loan or other financial arrangement from any firm introduced from sources that are made available by andthru consultants, nor in any manner, without the express permission of the parties who made the source available, contact the source, solicit or conduct any transactions.

2) The parties willmaintain complete confidentiality regarding other business sources and/or the affiliates and will disclose these only to named parties, unless agreed and granted an expressed written permission of and bythe party who made the source available.

3) The parties will not in any way whatsoever, circumvent, or attempt to circumvent each other or any of the parties involved in any of the transactions theparties are desirous of entering into and to the best of their abilities assure the other that the original transaction codes data and proprietary information established will not be altered.
