CONTRATO DE DISTRIBUCION MERCANTIL QUE CELEBRAN POR UNA PARTE COMO VENDEDOR ORGANO GOLD INTERNATIONAL-MEXICO S. DE R.L DE C.V., EN LO SUCESIVO ORGANO GOLD Y POR LA OTRA PARTE COMO COMPRADOR Y DISTRIBUIDOR MERCANTIL INDEPENDIENTE EL INDIVIDUO CUYO NOMBRE APARECE EN EL FORMATO DE INSCRIPCIÓN DEL ANVERSO DE ESTE CONTRATO (“ELDISTRIBUIDOR”), DE ACUERDO CON LAS SIGUIENTES DECLARACIONES Y CLAUSULAS.

DECLARACIONES

I.- Declara ORGANO GOLD por conducto de su representante, ser una sociedad constituida de acuerdo con las leyes mercantiles de la República Mexicana con domicilio en Pasadena 11 Col. Del Valle, Del. Benito Juárez, C.P. 03100, México, D.F., y que se dedica principalmente a la importación, fabricación ycomercialización de todo tipo de productos nutricionales.

II.- Por su parte el DISTRIBUIDOR declara:

a) Que es un comerciante independiente que se dedica en forma habitual a la compra y reventa de diversos productos, cuyo domicilio y principal asiento de sus negocios, es el que se señala en el anverso de este contrato.
Encontrarse inscrito en el Registro Federal de Contribuyentes como ComercianteIndependiente, y de existir omisión sobre este requisito, el declarante se obliga a inscribirse ante las autoridades fiscales competentes en los términos de las leyes fiscales aplicables.
b) Que cuenta con capacidad legal para celebrar el presente contrato.
c) Que toda la información que proporciona es exacta y veraz.
d) Que cuenta con la experiencia y elementos propios necesarios para dedicarsecomo comerciante independiente a la comercialización de los productos ORGANO GOLD.
e) Que conoce las Políticas y Procedimientos, así como el Plan de Compensación ORGANO GOLD, con los cuales está de acuerdo.

Las partes suscriben el presente contrato al tenor de las siguientes:

CLAUSULAS

PRIMERA.- Una vez que ORGANO GOLD acepte el Formato de Inscripción y, emita un número de cuenta y elDISTRIBUIDOR firme y entregue el presente contrato y se compre el Paquete de Negocio Personal de Organo Gold, se otorga al DISTRIBUIDOR el derecho no exclusivo de comprar PRODUCTOS ORGANO GOLD a precio de mayoreo determinado por ORGANO GOLD, que se encuentre vigente en la fecha de cada una de sus compras, así como a distribuir dichos productos mediante su comercialización o reventa directa al...
