Dear
It was a pleasure speaking with you and I am happy to confirm that you are authorized to sell the Retro Marine…………. line of products.You have the right to sell our line on an exclusive basis in your own territory which includes the following states: ________ _____ _____ _____ _____ ____
You may also sell any account youwish outside of your territory and you will receive a full commission unless there is another rep covering that territory. In that case (if the account has never been sold or called on by thelocal rep) you will receive half the commission and the account will become the responsibility of the local rep.
Your commission rate will be 12% (except where otherwise mutually agreed uponfor a particular order) of all net sales (net sales being the amount of the sale after all deductions have been made such as: buyer chargebacks, discounts, advertising allowances, returns, orcancellations). Commissions will be made by the 15th to the 30th of the month following shipping. If after 60 days an account has not paid its invoice, any commissions paid to you for that sale willbe deducted from the next commission statement. If an account pays with a credit card upon shipment, your commission will be paid within 10 days.
Samples will be sent to you on a memo basis.You may keep them at the end of the selling season and 50% of the wholesale price will be deducted from your commissions (over a three month period) or, you may return them for full credit.
Thisagreement may be terminated by either party in writing with 30 days notice.
