|MECHANICAL LICENSE AGREEMENT

Agreement made and entered into between. S (hereinafter referred to as "Licensor"), and __________________(hereinafter called "Licensee") _______________________________

WHEREAS, Licensor warrants and represents that owns and/or controls the copyright musical composition entitled as set forth below(hereinafter called the “Composition”), and has the right, free from any claim by any other party, to grant the license herein provided.

WHEREAS, Licensee desires to embody said Composition in that certainphonorecord as set forth herein below:

NOW, THEREFORE, in consideration of the foregoing and of the mutual covenants and conditions hereinafter set forth, the parties hereto do agree as follow.1. Licensor hereby grants to Licensee the non-exclusive license to use the composition in the recording, manufacture and sale of phonorecords throughout the United States, its territories andpossessions, in accordance with the provisions of Section 115 of the Copyright Act of the United States of America.

2. Licensee’s rights to use the Composition is limited to one particular recording of theComposition as performed by the artist and on the phonorecord number set forth below, and this license does not supersede or in any way affect any prior agreements now in effect respectingphonorecords of the Composition.

3. Licensee shall pay to licensor ___________ of thestatutory rate in effect at the time such particular phonorecord is distributed and not returned (whether or not sold); provided, however, that no such royalty shall be payable with respect to promotionalphonorecords sent to disc jockeys, reviewers, and the like, which are clearly marked "Promotional Records Not For Sale" and which are not being distributed by Licensee for resale, and shall not be...
