TRADEMARK ASSIGNMENT AGREEMENT

This ASSIGNMENT AGREEMENT, (hereinafter the “AGREEMENT”) is entered among the undersigned, ________________________, of legal age, domiciled in the city of______________, identified with the Citizenship Card No. _________ of ________, acting as legal representative of _________, company duly incorporated under the laws of Colombia and domiciled in the city of________________ (hereinafter "THE ASSIGNOR"), and by ______________________, of legal age, domiciled in the city of ______________, identified with the Citizenship Card No. _________ of ________,acting as legal representative of the corporation BIOGEN DE COLOMBIA S.A., company duly incorporated under the laws of Colombia and domiciled in the city of __________, (hereinafter "THE ASSIGNEE"), havedecided to enter this TRADEMARK ASSIGNMENT AGREEMENT which shall be subject to the following clauses:

FIRST: The purpose of the present AGREEMENT is the assignment to the ASSIGNEE of the rightsthat the ASSIGNOR has upon the following trademark, which is duly registered before the Superintendency of Industry and Commerce and is currently in full force and effect:

SECOND: By means of this agreement, _________, assigns and transfers the registration indicated in the previousclause, to BIOGEN DE COLOMBIA S.A.

THIRD: The assignment of this trademark will be free of charge. However, all costs and expenses, incurred in such assignment will be borne by BIOGEN DE COLOMBIAS.A.

FOURTH: The ASSIGNEE acknowledges receipt from the ASSIGNOR and to its entire satisfaction, of authentic copies of the registration certificates issued by the Superintendency of Industry andCommerce which show that the ASSIGNOR is the holder and owner of the trademark referred to in this AGREEMENT.
