Cooperation and Donation Contract
For APEC Digital Opportunity Center
between H. Ayuntamiento de Calimaya de Díaz González and
ADOC Secretariat, Chinese Taipei  

APEC Digital Opportunity Center (ADOC) Secretariat in Chinese Taipei (hereinafter referred as “ADOC Secretariat”), by the signing of this Cooperation and Donation Contract, agrees to donate, and H. Ayuntamiento de Calimaya de DíazGonzález (hereinafter referred as “Cooperative Partner”), by the signing of this Cooperation and Donation Contract, agrees to receive the donated items as listed in Appendix I: Equipment of APEC Digital Opportunity Center.

ADOC Secretariat and Cooperative Partner (hereinafter referred as the “Parties”) agree that the purpose of establishing one (1) APEC Digital Opportunity Center (hereinafterreferred to as the “Center”) is to support the ADOC Project in its goal for bridging the digital divide for México by facilitating local Information Communication Technology (ICT) capacity building. The Center will act as a training center by providing ICT training programs and related activities for trainees in México, especially for Small and Medium Enterprises (SMEs), Women, Children andDisadvantaged groups.

The Parties agree to contribute to the setting up, operation, and maintenance of the Center. ADOC Secretariat agrees to donate the necessary ICT equipment as itemized in Appendix I: Equipment of APEC Digital Opportunity Center. Cooperative Partner agrees to provide one suitable location for the Center and to provide the sufficient resources in order to run and maintain bothfacilities successfully, as specified in this Cooperation and Donation Contract and the following Terms of Cooperation and Donation Contract (hereinafter referred as the “Contract”).

The Parties agree the Contract written in English is treated as the ONLY official contract which can not be replaced or overwritten by any translated Contract. In consideration of the foregoing and the covenants andpromises contained herein, the Parties agree to the terms and conditions contained in the following Terms of Cooperation and Donation Contract.
Terms of Cooperation and Donation Contract

The Signatories to this Terms of Cooperation and Donation Contract, namelyAPEC Digital Opportunity Center (ADOC) Secretariat in Chinese Taipei (hereinafter referred as “ADOC Secretariat”) and el H. Ayuntamiento de Calimaya de Díaz González (hereinafter referred as “Cooperative Partner”), declaring their common intentions to participate in the ADOC Project, have reached the following Terms:

Partnership
1. Cooperative Partner agrees to be a cooperative partner of ADOCSecretariat for the ADOC Project in México for the establishment and operation of one (1) APEC Digital Opportunity Center at Palacio Municipal S/N, Jardín Enrique Carniado, Col. Centro. Calimaya de Díaz González, Edo. De México, México. C.P.: 52200 (hereinafter referred to as the “Center”).
2. ADOC Secretariat and Cooperative Partner (hereinafter referred as the “Parties”) agree that the termsof the Contract will be effective from the establishment date of the Center on May 24, 2012 and terminated in accordance with Article 19 of the Contract.

Equipment and Facilities
3. ADOC Secretariat agrees to donate the necessary ICT equipment for the Center as listed in Appendix Ⅰ: Equipment of APEC Digital Opportunity Center (hereinafter referred to as “Equipment”).
4. Cooperative Partnershall make its best efforts to obtain tax benefits that are applicable to the Equipment for ADOC Secretariat.
5. During the cooperation period, from May 31, 2012 to 31 of December 2014 (hereinafter referred to as “Cooperation Period”), Cooperative Partner shall be liable for all maintenance of the Equipment.
