PREAMBLE :

B. The Investor has given « TRADER «  full power of attorney to place this certificate into a profitable private placement program by AXON INVEST HOLDING AG/SUISSE
C. _________________________ as the Owner/Investor will receive weekly profits as directed herein.


D. Pursuant to and subject to the terms and conditions set forth in this Agreement ;

NOWTHEREFORE, in consideration of the permises, the mutual agreements herein contained and other good and valuable consideration, the receipt and sufficency of which are hereby acknowledged, the parties hereby agree as follows :

The division of this Agreement into Articles, Sections, Clauses and pargraphs is for convenience of reference only and shall not affect theinterpretation or construction thereof.


1. DEFINITIONS AND INTERPRETATION

1. Definitions.
In this Agreement and its Recitals, unless the context otherwise requires or unless otherwise defined or provided for in this Agreement, the following words and expressions shall have the respective meanings ascribed to them :

1. „TRADER“ means a company whose registered business address is : AXONINVEST HOLDING AG/SUISSE, Quaderstrasse 118, CH-7000 CHUR/SUISSE
2. The Investor means ____________________, whose registered business address is ____________________________

3. a day on which banks and foreign exchange markets are open in London, Zürich, Frankfurt/Main, Hong Kong, Singapore and New York for the transaction of business of the nature required by this Agreement and also inrelation to a day on which payments are required to be made in an alternative Currency, in the place where the main domestic market for such alternative Currency is situated.

4. US Dollars   means the lawful currency for the United States of America. EURO means the lawful currency of the European Economic Community.

1. Interpretation.

In this Agreement and its Recitals, unless thecontext or the express provisions otherwise require ;

1. references to (or to any specified provision of) this Agreement or any other document shall be construed as references to this Agreement, that provision or that document as in force for the time being and as amended or novated or supplemented, as the case may be, from time to time
2. references to words « other » and »otherwise », inthis Agreement, shall be construed ejusdem generis with an foregoing words where a wider constrution is possible.



2. CONDITIONS PRECENDENT TO


Conditions


Notwithstanding any other provision of this Agreement, „TRADER“ shall not be under any obligation whatsoever, in connection with this Agreement unless :

▪ „TRADER“ receives the application documents for Private Placementonto his or another TRADING-DESK submitted and correctly compiled and fully signed by The Investor/Owner .
▪ The Investor  signs the power of attorney and this agreement with „TRADER“ to enable „TRADER“ to proceed to Private Placement.

COMMENCEMENT DATE.

The commencement shall take place on or before the ____________xxxxxxxx 200x or such later date as the parties may agree to in writingfor a period of 00 (xxxx) weeks with rolls and extensions.

3. PAYMENT OF PROFITS


1. 00 % of the total traded profits (ROI is Return of Investment) will be paid to the account of „TRADER“ for onward payment to the Investor nominated bank account weekly on xxxday (Place) to arrive on xxxxxx.
