WHEREAS, ______________, with an address of __________, Puerto Rico, (hereinafter referred to as "Holder") is lending $500,000 (the "Loan") to RinconBeach Front, LLC, a limited liability company organized and existing under the laws of the State of Connecticut and having its principal office at 49 Sarenee Circle Trumbull, CT 06611 (hereinafterreferred to as "Borrower"), the Loan being evidenced by a promissory note (the "Note") in the amount of $500,000 of even date and made by Borrower in favor of Holder;
WHEREAS, as a condition ofsaid Loan, the undersigned is required to unconditionally guarantee repayment of said Loan;
WHEREAS, the Borrower owns shares of the undersigned;
WHEREAS, the undersigned hasdetermined that it is in its best interest to enter into this Agreement;
NOW THEREFORE, in consideration of Holder making the Loan, the undersigned (hereinafter referred to as the "undersigned" orthe "Guarantor" unconditionally guarantees to Holder full and prompt payment at maturity, including any accelerated maturity, of any and all Liabilities (as hereinafter defined) owed to Holder byBorrower and hereby further agrees and represents:
1. The undersigned will receive financial benefit from this transaction, directly or
indirectly, and it is in the interest of the undersignedto enter into this Agreement.
2. As used herein, "Liabilities" means all obligations of Borrower under the Note and any and all documents issued by Borrower to Holder in extension, modification,or substitution thereof.
3. The undersigned hereby waives demand, presentment, protest, and notice of Holder’s acceptance of this guaranty and of any loans made, extensions granted or other actiontaken in reliance hereon and all other demands and notices of any description in connection with this guaranty, the liabilities or otherwise.
