binding obligation on either of us.

preliminary understanding which we have reached regarding the proposed

“to use their best efforts to reach an agreement”.

negociacion
A veces, contiene obligaciones y compromisos:

b. Confidencialidad
Responsabilidad: Salvo estipulacion en contrario, documenta las
negociaciones (responsabilidad incontrahendo)
No es vinculante: importante la redaccion  INTENCION DE
ARRIBAR A UN ACUERDO
Necesario para tramites con gobierno – bancos –proveedores…
o para hacer una declaracion publica…?

Cartas de Intencion (LOI):
