Ad Revenue Agreement
This agreement (“Agreement”) is entered into and effective as of 21 September, 2012 (the
“Effective Date”) by and between Fullscreen, Inc. (“Fullscreen”) a Delaware Corporation,
and the undersigned (“Provider”). For good and valuable consideration, the receipt and
sufficiency of which is hereby acknowledged, the parties hereto agree as follows:
Overview . Providerrepresents and warrants that Provider owns and/or has all necessary
rights to control the following YouTube channel and all similar channels launched by
Provider during the Term (the “Properties”), as well as all content (both audio and audiovisual) exploited through such Properties (the “Content”):

Provider Content License. Provider hereby grants to Fullscreen the exclusive,worldwide
right and license during the Term to exploit, manage and monetize (through enabling and
selling advertising) the Properties and the Content as part of Fullscreen’s YouTube
network(s). Without limiting the foregoing, Fullscreen will have the exclusive right
throughout the Term to represent, sell and manage all ad inventory on the Properties,
including but not limited to any ad sales orsponsorship opportunities against Content,
inclusion of advertising by ad networks, use of annotations and related features, and the
serving and monitoring of all campaigns. Fullscreen will collect all revenue generated from
the Properties directly (e.g., through Ad Sense, Video Ad Sense, YouTube direct sales,
Fullscreen’s direct sales, etc.) (the “Revenue”), and pay Provider in accordanceherewith.
Provider agrees that neither Provider or any third party will have the right to sell advertising
or monetize the Properties or Content therein in any way other than through Fullscreen
without first obtaining Fullscreen’s written consent.
Provider Network. Provider represents that Provider is part of (and has an agreement
with) the following so-called ‘network’: Fullscreen Arcade (the“Provider Network”), with
which Fullscreen may also have an agreement.
Additional Rights. Without limiting the foregoing, Provider further grants to Fullscreen any
and all rights and licenses reasonably required for Fullscreen to perform and enjoy its
rights under this Agreement.
Payments.
Revenue Share Deal: D uring each month of the Term, Fullscreen shall be entitled to
receive and/or retain0.0% of all Revenue generated hereunder; 70.0% of the remaining
earnings will be paid to Provider, and 30.0% will be paid to Provider Network, in
accordance with this Agreement.
Payment Method and Terms. Fullscreen will pay Provider (and Provider Network, if

applicable) all money due (if any) on a monthly basis in accordance with this Agreement,
within 30 days after the end of each calendarmonth; provided that if the money payable is
less than US$100 in any given month, then such earnings will be transferred over to the
next month for payment. N otwithstanding anything to the contrary herein, Fullscreen may
deduct from any and all money otherwise payable to Provider and/or Provider Network
hereunder (as applicable) all wire transfer fees, ACH fees, and other reasonableadministrative fees (not to exceed 2% of monthly payables) charged to Fullscreen in
connection with this Agreement.
Brand Features License. Provider also grants to Fullscreen a non-exclusive, worldwide,
royalty-free license to use any trademarks, trade names, designs and logos that are
provided by Provider in connection with the Properties to fulfill Fullscreen’s obligations
hereunder and forFullscreen promotional activities.
Removal. In extremely rare instances, Fullscreen may request that Provider remove
certain Content or disable advertising on certain Content if it is deemed unsuitable for
advertising purposes. Such requests will be issued by Fullscreen via email or telephone
call and must be handled with expediency by Provider.
