A representative of Sun is the “Tax Matters Partner” (“TMP”) for Equities and will, along with Grant Thornton, represent Equities in its dealings with the IRS. Forthe most part, the IRS will only communicate with the TMP regarding the audit. Any communication received by the TMP will be shared with you.

Should the IRSpropose adjustments which affect your tax liability, you will have the right to participate in certain of those proceedings. Unless you choose to participate, there is noneed for you to take any action regarding this matter.
