Prueba De Fondos Pof

ACUERDO PARA LA OBTENCIÓN DE LA PRUEBA DE LOS FONDOS
A partir de esta el 21 día de mayo de 2012, las Partes,
xxxxxxx Intl. Corp. SA, una sociedad constituida bajo las leyes y registrada en Republica de Panamá, con número de registro xxxx, dirigida en Torre Dresdner Bank, Piso 6, Calle 55 y Este, Ciudad de Panamá., Representada por xxxxxxxxxx , Pasaporte Uruguayo N º xxxxxxxx, con plenaautoridad para ejecutar y llevar a cabo este “ JOINT VENTURE PARTNER AGREEMENT” denominada en lo sucesivo “el solicitante”.
Y,
El xxxxxxxxxxxxx, con residencia en Guatemala, Centro América, con Pasaporte Guatemalteco #, siendo los receptores de los fondos, con plena autoridad para ejecutar y llevar a cabo este Convenio, denominado en lo sucesivo "el beneficiario", por este medio establecen y acuerdanlos términos y condiciones de la siguiente manera :
FIRST: The Beneficiary, for corporate investment purposes, agrees to utilize a One (1) Proof of Funds (POF) for an amount of € 100,000,000.00 (Cien Million Euros), with maturity in a term of One (1) year, One (1) month, and One (1) day renewable upon Agreement.

PRIMERO: El beneficiario, a propósito de la inversión corporativa, se compromete autilizar una (1) Prueba de Fondos (POF) por un importe de 100.000.000,00 € (Cien Millones de Euros), con vencimiento en un plazo de un (1) año, Un ( 1) mes, y una (1) día renovable previo acuerdo.

SECOND: The Applicant guarantee that he is able to obtain the required One (1) Proof of Funds (POF) on the terms and conditions herein stated.

SEGUNDO: El solicitante garantiza de que él es capaz deobtener lo requerido para Una (1) Prueba de Fondos (POF) en los términos y condiciones aquí establecidos.
THIRD: The Applicant accepts to negotiate with (Beneficiary), in order that it can instruct HSBC, the issuance of One (1) Proof of Funds (POF) in favour of The Beneficiary, or to whom he designates, for an amount of € 100,000,000.00 (Cien Million Euros), with maturity on a term of One (1)year and One (1) month and One (1) day from issued day
TERCERO: El solicitante acepta negociar con (el Sr. Ronaldo Chacón como beneficiario), en el orden de lo que pueda instruir a HSBC , la emisión de Una (1) Prueba de Fondos (POF) en favor del beneficiario, o a quien éste designe, por un importe de € 100,000,000.00 (Cien Millones de Euros), con vencimiento en un plazo de un (1) año y un (1) mes yun (1) día a partir del día de publicado.
FOURTH: The Applicant will provide The Beneficiary, the full Euroclear/DTC Screen copies and the Statement where The Beneficiary’s Bank shall be verified the authenticity of the said One (1) Proof of Funds (POF) and shall blocked it on screen, in order that through the same screen it shall request the release of the instrument through the said screen, infavour of The Beneficiary’s Bank.

CUARTO: El solicitante deberá proporcionar al beneficiario, copias completas del “Euroclear / DTC“, copias de pantalla y de la Declaración, donde el banco del beneficiario ha verificado la autenticidad de dicha Prueba de Fondos (POF) y lo bloqueará en la pantalla, con el fin de que a través de la misma pantalla solicite la liberación del instrumento conformelo que se dice en la misma, a favor del banco del beneficiario.
FIFTH: The Beneficiary undertakes to pay back the face value of the subject POF, before the end of the one year and one day period, or to renew it for another year, or to return it to the issuing bank fifteen days before maturity. In the first two cases The Beneficiary must send a Corporate Undertaking looking for an agreement forsuch purposes. In this last case The Beneficiary must provide a Letter of Undertaking for such purpose from its COMPANY
QUINTO: El beneficiario se compromete a pagar el valor nominal de la POF, antes de que finalice el año y un período de días o de renovarlo por otro año, o para devolverlo al banco emisor con quince días antes de su vencimiento. En los dos primeros casos el beneficiario deberá...
